Digital Marketing Contract

REGISTRATION

Action Required!

This Digital Marketing Contract (the “Contract”) is entered into by and between Web Design Island LLC (the “Contractor”) and Hilburn & Lein, CPAs (“Client”). NOW THEREFORE, in consideration of the foregoing, and of the mutual covenants and Contracts set forth herein, the Client hires the Contractor, and the Contractor agrees to work for the Client, intending to be legally bound, agree as follows: *

I Agree

AUTHORIZATION. The Contractor is engaging with the Client located in Las Vegas, Nevada as an independent Contractor for the specific project of developing and/or improving a World Wide website to be installed on the Client's web hosting service of choice. The Client hereby authorizes the Contractor to access this account with write permission for the Client's webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The Client also authorizes Contractor to publicize their completed website on the internet. The Client is responsible to have secured a domain name before the website can be built and uploaded to the internet. *

WEB DESIGN ELEMENTS. The Contractor includes the following elements in their websites that they build: ••• Words of text supplied by the Client. Web pages of more than 1,200 words of text may be subject to additional fees, especially if they require a great deal of formatting. ••• Logo Graphics supplied by Client. Logo will be incorporated on all pages of your website to represent your branding. Colors of the logo will be used throughout the website as part of the design. ••• Photos and other misc. graphic images supplied by the Client (up to an average of 1-3 included per page in standard websites) ••• Installation of web pages on the Client's secure web hosting service, or our secure web hosting service. ••• Digital forms (if purchased). Basic PHP script. Forms cannot be used on your website if your secure web hosting service does not allow PHP scripting. *

WEBSITE SUPPORT (Bronze Plan). Each website requires a current website support plan. Website support plans are billed on a quarterly basis. We provide free secure web hosting with all our website support plans. If you are providing your own secure web hosting, you are responsible for hosting renewal, SSL certificate setup and renewal, hosting account issues and anything else that is needed for your website to be functional in your server environment. Our Website Support Plans include: ••• Small website changes for you (no data entry) ••• Fix website issues ••• Full weekly website backups ••• Live/Email support 7 days a week ••• For 1 domain or subdomain. Secure Free Web Hosting includes: ••• Installation of SSL certificates ••• Fix hosting issues. *

COMPLETION DATE. The Contractor and Client must work together to complete the website in a timely manner. The Contractor agrees to work expeditiously to complete the website no later than agreed upon date. The Contractor reserves the right to assign Subcontractors if necessary to complete each project on time and for other services. *

PAYMENT OF FEES. Fees to the Contractor are due and payable according to details on each invoice. All payments can be made by credit card online. The Contractor reserves the right to remove the entire website from viewing on the Internet until delinquent payments and/or late fees are received. In the case collection proves necessary, the Client agrees to pay all fees incurred by that process. This Contract becomes effective when signed by the Client. Regardless of the place the Contract is signed, the Client agrees that for purposes of venue, this contract was entered into in Las Vegas Nevada and any dispute will be litigated or arbitrated in Las Vegas Nevada. *

LEGAL. The Contractor does not warrant that the operation of the web pages will be uninterrupted. If any provision of this Contract shall be unlawful, void or for any reason unenforceable, then that prevision shall be deemed severable from the Contract and shall not affect the validity and enforceability of any remaining provisions. The Client agrees to hold the Contractor harmless for any and all suits, claims or the like related to the website content, to the extent that such content was provided by Client or its designated agents. The Client further agrees to pay any and all expenses, including costs and attorney’s fees, incurred by the Contractor as a result of any lawsuit or claim associated with the website’s content as provided by Client. The Contractor does not warrant that any information, pictures or website content of any kind that does not comply with the applicable State, Federal and International Laws. It is the responsibility of the Client to ascertain the applicable laws, and determine that the website content is in compliance with said laws within their industry. *

LAWS AFFECTING ELECTRONIC COMMERCE. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The Client agrees that the Client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend the Contractor and its Subcontractors from any claim, suit, penalty, tax, or tariff arising from the Client’s exercise of Internet electronic commerce. *

COPYRIGHTS AND TRADEMARKS. The Client represents the Contractor and unconditionally guarantees that any elements of text, graphics, photos, videos, designs, trademarks, or other artwork furnished to the Contractor for inclusion in web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements. Copyright to the finished assembled work of web pages produced by the Contractor is owned by the Contractor. Upon final payment of this contract, the Client is assigned rights to use as a website the design, graphics, video and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. The Contractor and its Subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios. If there are any amendments to this statement, it will be documented in writing. *

SOLE AGREEMENT. This Contract constitutes the sole agreement between the Contractor and Client regarding this website. Any additional work not specified in this Contract must be authorized by a written change order. All prices specified in this contract will be honored for two (2) months from the Contract sign date. Continued services after that time will require a new Contract and new pricing. *

INITIAL PAYMENT AND REFUND POLICY. The total amount of the Initial Contract is $4,150.00. To begin we require a 50% down payment of $1,887.50 for the website, and $375.00 for the quarterly Website Support Plan. If Client halts work within five (5) days of contract date, a refund for any work not completed will be refunded to Client. Website Support Plans are non-refundable. If at any time the Client fails to renew an expired Website Support Plan the website will automatically go offline until paid, and a late fee will be required. If the Website Support Plan is not renewed within five (5) days after the expiration date, your account at Web Design Island LLC will be terminated. All website files will be permanently deleted after we notify you. *

POLICIES.

Any fees owed must be paid before the website can go live. Fees will also apply to free or donated websites. All fee polices will be enforced as outlined here:

[10 DAYS] BOTH the signed Contract and invoice deposit must be received within ten (10) days of invoice date, or a late fee of $75 will be automatically added to your invoice balance on day 11. *

[30 DAYS] The Contractor works very quickly and will be waiting for the Client to provide the content needed to complete the website. Payment IN FULL of the entire invoice balance to date will be due thirty (30) days from contract sign date - even if the website is not completed, or a late fee of $150 will automatically be added to your invoice balance on day 31. *

[60 DAYS] The remaining balance of the website and all content requested from Client to complete the website must be submitted within 60 days of the Contract signed date or a late fee of $150 will automatically be charged starting on day 61 and will continue to be charged every month the content is late to complete the website. *
